Terms of Service
1. Introduction and Acceptance of Terms
Welcome to XEUS ("XEUS," "we," "us," or "our"). XEUS is an AI-powered business intelligence and analytics platform operated by XEUS SOLUTIONS INC., doing business as XEUS ("XEUS SOLUTIONS INC.," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and XEUS governing your access to and use of the XEUS platform, including all associated services, applications, APIs, and documentation (collectively, the "Service").
By accessing or using the Service, creating an account, or clicking an acceptance button, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are agreeing to these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not access or use the Service.
2. Definitions
"Account" means the account you create to access the Service.
"Admin User" means a user with administrative privileges on your Account, including the ability to manage billing, users, and platform settings.
"Content" means any data, information, text, graphics, visualizations, dashboards, reports, or other materials uploaded to, generated by, or displayed through the Service.
"Credits" means the unit of measurement used to meter and bill your usage of certain features and capabilities within the Service, including AI-powered analytics, data processing, and query execution.
"Customer Data" means any data, files, or information that you upload, submit, or transmit to the Service.
"Subscription Plan" means the specific tier of service you have subscribed to, which includes a defined allotment of Credits per billing period.
"Top-Up Credits" means additional Credits purchased in defined increments when your usage exceeds your Subscription Plan allotment.
"User Content" means any dashboards, reports, queries, visualizations, or other outputs created by you or on your behalf through the Service.
3. Account Registration and Security
To use the Service, you must create an Account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to immediately notify XEUS at info@goxeus.com if you become aware of any unauthorized use of your Account.
You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an Account and use the Service. By creating an Account, you represent that you meet this requirement.
4. Subscription Plans and Pricing
4.1 Subscription Plans
XEUS offers subscription-based access to the Service. Each Subscription Plan includes a defined number of Credits per billing period. The features, Credit allotments, and pricing for each Subscription Plan are described on the XEUS pricing page or in your applicable order form.
4.2 Billing and Payment
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). All fees are quoted and payable in U.S. dollars unless otherwise specified. You authorize XEUS to charge the payment method on file for all applicable fees.
4.3 Taxes
All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying all such taxes, levies, or duties associated with your use of the Service, excluding taxes based on XEUS's net income.
4.4 Subscription Price Changes
XEUS reserves the right to modify Subscription Plan pricing at any time. If we change the price of your Subscription Plan, we will provide you with at least thirty (30) days' advance written notice before the new pricing takes effect. The updated price will apply at the start of your next billing cycle following the notice period.
4.5 Credit Value Changes
The value of a Credit in terms of platform usage may change at any time without advance notice. XEUS continuously improves and updates its platform capabilities, and the cost structure underlying Credits may be adjusted accordingly.
5. Credits and Usage
5.1 Credit Allotments
Each Subscription Plan includes a set number of Credits per billing period. Credits represent your capacity to use certain metered features of the Service. Unused Credits do not roll over to the next billing period unless expressly stated in your Subscription Plan.
5.2 Top-Up Credits
If you exceed the Credit allotment included in your Subscription Plan, additional Credits ("Top-Up Credits") will be automatically purchased in predefined increments at the then-current Top-Up Credit rate.
5.3 Admin Controls for Top-Up Credits
An Admin User may disable automatic Top-Up Credit purchasing at any time through the Account settings. When Top-Up Credits are disabled and your Credit allotment is exhausted, access to metered features may be limited or suspended until the next billing period.
5.4 Credit Monitoring
XEUS will make reasonable efforts to provide visibility into your Credit usage within the platform. However, it is your responsibility to monitor your usage and manage your Credit consumption accordingly.
6. Cancellation and Refund Policy
6.1 Cancellation by Customer
An Admin User may cancel a Subscription Plan at any time during the current billing period through the Account settings or by contacting XEUS at info@goxeus.com. Upon cancellation, your Subscription Plan will remain active through the end of the current billing period.
6.2 No Refunds
All fees paid to XEUS are non-refundable. XEUS does not provide refunds or credits for any partial billing periods, unused Credits, unused Top-Up Credits, or downgraded Subscription Plans. This no-refund policy applies regardless of the reason for cancellation.
7. Customer Data and Privacy
7.1 Ownership of Customer Data
You retain all right, title, and interest in and to your Customer Data. XEUS does not claim ownership of your Customer Data.
7.2 License to Customer Data
By uploading or submitting Customer Data to the Service, you grant XEUS a non-exclusive, worldwide, royalty-free license to use, process, store, and display your Customer Data solely to the extent necessary to provide, maintain, and improve the Service.
7.3 Data Security
XEUS implements commercially reasonable technical and organizational measures to protect Customer Data against unauthorized access, loss, or alteration. However, no method of electronic storage or transmission is 100% secure.
7.4 Aggregated and Anonymized Data
XEUS may collect, use, and disclose aggregated and anonymized data derived from your use of the Service for purposes such as product improvement, analytics, benchmarking, and research.
8. Brand and Logo Usage
8.1 Customer Grant to XEUS
By using the Service, you grant XEUS a non-exclusive, worldwide, royalty-free license to use your company name, logo, and trademarks for identifying you as a XEUS customer on our website, marketing materials, customer lists, case studies, and promotional content.
8.2 Usage Standards
XEUS will use Customer Marks in a manner consistent with any published brand guidelines you provide. You may revoke this license at any time by providing written notice to info@goxeus.com.
8.3 XEUS Brand
You may not use the XEUS name, logo, or trademarks without our prior written consent, except to the extent reasonably necessary to identify XEUS as your service provider.
9. Intellectual Property
XEUS and its licensors own all right, title, and interest in and to the Service, including all software, algorithms, models, designs, documentation, and all related intellectual property rights. These Terms do not grant you any ownership interest in the Service.
Any feedback, suggestions, or ideas you provide regarding the Service ("Feedback") may be used by XEUS without restriction or obligation. You hereby assign to XEUS all right, title, and interest in such Feedback.
10. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights;
- Upload or transmit malware, viruses, or other harmful code;
- Upload, store, or process data that you do not have the lawful right to use;
- Attempt to gain unauthorized access to the Service or its underlying systems;
- Reverse-engineer, decompile, or disassemble any part of the Service;
- Use the Service to develop a competing product or service;
- Resell, sublicense, or redistribute access to the Service without XEUS's prior written consent;
- Use the Service in connection with any unlawful, fraudulent, or deceptive activity;
- Interfere with or disrupt the Service or the servers and networks used to deliver it; or
- Use the Service in any manner that could damage, disable, or overburden XEUS infrastructure.
11. Content Moderation and Removal
XEUS reserves the right, but is not obligated, to monitor, review, or inspect any Customer Data or User Content. XEUS may remove or restrict access to content that violates these Terms, infringes third-party rights, is unlawful or harmful, poses a security risk, or could expose XEUS to legal liability.
12. Law Enforcement Cooperation and Compliance
XEUS may disclose Customer Data, User Content, Account information, or usage data to governmental authorities or law enforcement agencies if required by applicable law, necessary to enforce these Terms, or necessary to protect the rights, property, or safety of XEUS, its users, or the public.
13. AI-Generated Outputs
The Service utilizes artificial intelligence and machine learning technologies to generate analytics, insights, and recommendations ("AI Outputs"). You acknowledge that:
- AI Outputs may contain errors, inaccuracies, or biases and are not guaranteed to be accurate or reliable;
- AI Outputs are provided for informational purposes only and should not be the sole basis for any business decision;
- You are solely responsible for evaluating and verifying AI Outputs; and
- XEUS shall have no liability for any losses arising from your reliance on AI Outputs.
14. Third-Party Services and Integrations
The Service may integrate with third-party services, data sources, or applications. Your use of Third-Party Services is subject to those third parties' terms and policies. XEUS does not control or assume responsibility for any Third-Party Services.
15. Beta and Preview Features
XEUS may offer beta, preview, or experimental features ("Beta Features") provided "as is" without warranties or service level commitments. XEUS may modify or discontinue Beta Features at any time without notice.
16. Export Controls and Sanctions Compliance
You agree to comply with all applicable export control laws, trade sanctions, and regulations. You represent and warrant that you are not located in any country subject to comprehensive U.S. sanctions and are not designated on any U.S. government restricted party list.
17. Account Inactivity
If your Account remains inactive for twelve (12) months or more, XEUS may deactivate or terminate your Account after providing thirty (30) days' written notice. Prior to termination, XEUS will provide the opportunity to export your Customer Data.
18. Electronic Communications Consent
By creating an Account, you consent to receive electronic communications from XEUS, including service announcements, billing notifications, security alerts, and administrative messages.
19. Service Availability and Modifications
XEUS will use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted or error-free operation. XEUS reserves the right to modify, update, or discontinue any feature or functionality of the Service at any time.
20. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XEUS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XEUS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.
XEUS'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO XEUS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
22. Indemnification
You agree to indemnify, defend, and hold harmless XEUS and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Service, your violation of these Terms, your violation of any applicable law or third-party rights, or your Customer Data.
23. Suspension and Termination
23.1 Suspension by XEUS
XEUS may immediately suspend your access to the Service if your use poses a security risk, adversely impacts other customers, constitutes a material breach, involves fraudulent or illegal activity, or is required by law.
23.2 Termination by XEUS
XEUS may terminate your Account and access to the Service at any time, for any reason or no reason, with or without prior notice.
23.3 Effect of Termination
Upon termination, your right to access the Service will immediately cease. XEUS will make your Customer Data available for export for thirty (30) days following termination.
23.4 Survival
Sections 6.2, 7, 8, 9, 12, 13, 16, 20, 21, 22, 25, and 26 shall survive termination.
24. Confidentiality
Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential.
25. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.
26. General Provisions
Entire Agreement. These Terms constitute the entire agreement between you and XEUS regarding the Service.
Amendments. XEUS may update these Terms from time to time with at least fifteen (15) days' notice. Continued use constitutes acceptance.
Severability. If any provision is found unenforceable, it will be modified to the minimum extent necessary.
Waiver. No failure or delay by XEUS in exercising any right constitutes a waiver.
Assignment. You may not assign these Terms without XEUS's prior written consent. XEUS may assign without restriction.
Force Majeure. XEUS shall not be liable for failures due to causes beyond its reasonable control.
Notices. All notices from XEUS will be sent to the email address on your Account. All notices to XEUS must be sent to info@goxeus.com.
Relationship of the Parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
